1. Who this is between
This agreement is between Guideless LLC, trading as Guideless Travel ("Guideless", "we"), and the company or person using our partner programme, our API, or our custom-trip service to reach travellers ("you"). It takes effect when you create an API key, send us a traveller, or ask us to build a trip for one of your customers, whichever happens first.
It applies alongside our Terms of Service and Privacy Policy. Where this agreement and those differ about your use of the partner programme, this agreement wins. Where they differ about a traveller's trip, the traveller's Booking Agreement wins, because that is the contract for the trip itself.
2. What you can do
- Send travellers to us, with your key prefix on the link, and earn commission on what they book.
- Call the read and quote endpoints from your own server to show our trips inside your own product.
- Ask us to research and build a custom trip for one of your customers, and market the result under your own brand, described as powered by Guideless.
- Say publicly that you work with us, within clause 9.
See also the developer page.
3. Guideless is the seller, always
This is the clause the whole arrangement rests on, and it is not negotiable in any deal.
- Every trip is sold by Guideless to the traveller. We are the organiser, we contract the hotels, trains, transfers and experiences in our own name, and the traveller's contract is with us under our Booking Agreement.
- The traveller pays Guideless, or you pay Guideless for them under clause 12. Either way the money for a trip comes to us, not through you to us later: you do not take a traveller's payment for a Guideless trip on our behalf, and you do not invoice a traveller for our price as if the trip were yours. If you recover from your customer what you paid us, the amount you recover for the trip is our price; anything above it is your own fee and clause 5 applies to it.
- The confirmation, the tickets, the app and support come from Guideless. You may brand the front end; you may not be the counterparty behind it.
- You are not our agent and we are not yours. Neither of us can commit the other to anything.
4. What you may not do with what we show you
Our room and transport rates come from suppliers whose agreements let us sell travel to our own customers and nothing more. That licence is ours and it does not pass to you. This clause is how it stays intact, and breaking it is the one thing here that ends the relationship immediately.
- You may not resell, sublicense, redistribute, syndicate or pass on any rate, price, availability or property-level data we give you, to anybody, in any form. That includes another partner, an affiliate, a metasearch, an aggregator, a marketplace and a model you are training.
- We do not expose hotel names, room types, star ratings, nightly rates or supplier identities through the API, and you may not reconstruct or infer them from what we do expose and publish the result.
- Our prices are packaged trip prices. Show them as ours. Do not present them as your own inventory, your own contracted rate, or a rate you negotiated.
- Do not cache a quote for longer than an hour. Prices move with live supplier rates, and a stale quote shown as current is a price we did not offer.
- No scraping, no automated harvesting, and no using our responses to build a competing rate or availability product. If a rate limit is in your way, ask us — it is a conversation, not a policy.
5. Your price, your fee, and saying so
- Show our price as our price. You may add a fee of your own on top of it. You may not show a lower price and bill the difference, and you may not present a marked-up figure as the Guideless price.
- Any fee of yours must be disclosed to the traveller separately and identified as your charge, before they pay. A mandatory charge that appears late in a checkout is exactly the practice consumer regulators are pursuing, and we will not carry it inside our price.
- You may not add a charge to a Guideless trip after the traveller has booked it.
- We do not price-match a partner's markup, and we do not hide a partner's fee inside our own displayed price to make one possible.
6. Custom trips you ask us to build
You can describe a trip one of your customers wants — a place, some dates, a party, a standard — and we will research it, price it and send you a proposal to sell under your own brand.
- What comes back is a researched plan with a planning price and a validity deadline, not a reservation or price guarantee. We check current rooms, total price and cancellation terms before asking the traveller to pay. You may not describe a planning proposal as held, reserved, confirmed, blocked or guaranteed at its earlier price.
- After the displayed deadline, the planning price expires and the trip stays saved. We re-price on request. A proposal you keep on your own site past its deadline is your representation, not ours.
- Sell it as a Guideless trip bought from Guideless. Clause 3 applies without exception to a custom trip, whichever brand is on the page it was sold from.
- Pass on what the proposal says about its own limits, in full: which legs we book and which the traveller books, which hotels we have used and which we researched, which prices are estimates from a published fare rather than tickets we hold, and anything still waiting on a supplier. Removing those lines from a proposal before you show it is a breach of this agreement and your liability, not ours.
- We build proposals with the help of an automated assistant working from our own research. The final trip details, price and terms the traveller accepts before payment govern the booking, not a planning price. Do not represent an assistant's output as a Guideless commitment or as advice on visas, health, accessibility, safety or the law.
- A change a traveller asks for may re-price the trip. We tell you the new price before anything is charged.
7. Cancellation terms you must pass on
- A custom trip's cancellation terms are built at confirmation from the rates we actually hold, and they are never more generous than the strictest component on that trip. They can be far stricter than the tiers on our catalogue departures, up to entirely non-refundable.
- The traveller must see those terms before they pay. They are on the proposal and again at our checkout. You may not summarise them into something friendlier, and you may not quote our catalogue cancellation tiers for a custom trip.
- You cannot offer, promise or agree a refund on our behalf. If you promise a traveller something more generous than the terms they bought, that promise is yours to honour and yours to pay for.
- A cancelled booking earns no commission, and commission already paid on it is reversed.
8. What you say about us
- You may say a trip is "powered by Guideless" and use our name in plain text to describe the relationship. Use of our logo, photography and trip copy needs our written permission, and we can withdraw it.
- You may not make promises on our behalf, describe our trips in ways our own pages do not support, or imply we endorse the rest of your business.
- You are responsible for your own marketing, your own claims and your own site, including anything you generate automatically. If a traveller is told something by you that contradicts our terms, our terms govern and the cost of the difference is yours.
- No advertising on our brand name that implies you are us, and no domains or handles that a traveller could mistake for ours.
9. Travellers and their data
- Personal data you send us about a traveller must be data you are allowed to send, collected with whatever consent the law where they live requires.
- We handle traveller data under our Privacy Policy, as the organiser of their trip. We do not hand a traveller's account, itinerary or messages to a partner.
- We tell you what you need to be paid and to support your customer: that a booking happened, for which trip, and what it earned you. Not the traveller's payment details, passport details or private messages.
- Do not use traveller data you obtain through us for anything other than the trip it relates to, and do not sell it.
10. Keys, usage and limits
- Your API key is a credential. Keep it on your server, never in a browser or an app, and tell us at once if it leaks. Calls made with your key are your calls and your responsibility.
- Usage is metered and billed as published on our developer page: a monthly allowance included at no charge, a small per-call charge past it, and a hard monthly ceiling above which we answer 429 rather than keep charging you.
- We may rate-limit, change limits, or change endpoints. We give notice of a breaking change where we can. Read endpoints may be deprecated with reasonable notice; nothing here promises an interface forever.
- Do not share your key, resell access to it, or use it to serve another company's traffic.
See also the developer page.
11. Commission
- Commission is a flat amount for each confirmed booking attributed to you, the same whichever trip and whichever tier the traveller chooses. The current amount is published on our developer page and is the amount in force when the booking confirms.
- Attribution follows your key prefix on the link the traveller arrived by, and lasts 90 days. An unattributed booking earns nothing.
- It is paid after the departure has run, because that is when the money is genuinely ours. A cancelled or refunded booking pays nothing, and anything already paid on it is set off against what we next owe you.
- Commission is on the trip, not on optional extras: extras are sold close to what they cost us and there is no margin in them to share.
- Fraudulent, self-referred or incentivised bookings earn nothing and end this agreement.
12. Bookings made by your agent and charged to your card
- You choose to allow it. Bookings by your AI agent or software are charged to the card on your API account only after you turn this on at our developer page and set a limit for any one booking, and after our team has reviewed your account and approved a limit of its own. We never charge more than the lower of the two. You can turn it off or lower your limit at any time; a booking already made stays made.
- The traveller asked for it. Your agent may book only for a traveller who has asked for that trip and agreed to our Terms, Booking Agreement and the cancellation terms shown for it, and only with their details as they gave them. Telling us a traveller authorised a booking they did not is a breach of this agreement, and the booking is yours to pay for.
- The booking is the traveller's. We send them the confirmation, the account, the app and support, as for any booking. You cannot change, cancel or transfer it; the traveller can, under our terms.
- What we charge you. We charge your card the amount due now when the booking is made: the deposit, or the full price when the trip starts within the full-payment window. We charge the balance to the same card about a week before it is due. If that charge fails, the balance falls to the traveller under our normal terms. Extras the traveller adds later are theirs to pay.
- Refunds go back to the card that paid. When a booking is cancelled or refunded under our terms, the refund of what you paid returns to your card. Settling with your customer is between you and them.
- Charges you dispute. A chargeback or dispute on a charge to your card is yours. If you dispute a charge for a booking we delivered, or delivered in part, we may cancel what has not yet been delivered, set the disputed amount against commission we owe you, and stop bookings on your card.
- Declined cards. If your card is declined when a booking is made, nothing is booked and nothing is held.
- Commission on these bookings works as in clause 11.

13. Selling lawfully where you sell
- You are responsible for your own registrations, licences and taxes in the places you market. Ours are in clause 18, and they cover our own sale to the traveller, not your business.
- Market honestly: no fake urgency, no invented availability, no prices you cannot honour, and nothing aimed at people who cannot lawfully buy.
- Do not market our trips to anybody we may not sell to, including people under the age a departure requires and anybody subject to sanctions.
- Tell us promptly about a complaint, a regulator's question or a claim that concerns a Guideless trip. We will do the same for you.
14. Suspension and ending this agreement
- Either of us can end this agreement at any time, with notice, for any reason.
- We may suspend or withdraw your access immediately, without notice, where we believe clause 3, 4 or 5 has been breached, where a key is compromised, or where a traveller is at risk of being misled.
- Ending it does not affect a booking a traveller has already made. We still owe them the trip, and we still owe you commission already earned on a booking that goes on to run.
- On termination, stop using our name, our marks and our content, delete any of our data you hold, and stop calling the API. Clauses 4, 9, 14, 15 and 19 survive.
15. Indemnity
You cover us for what you say and do. If a traveller, a supplier or a regulator brings a claim against us because of your marketing, your fee, your site, your data handling, or something you told a traveller that our terms did not say, you indemnify us for the cost of it, including reasonable legal costs. We will tell you promptly, let you take part in the defence, and not settle such a claim without asking you first.
16. Warranties and limits
- We provide the API and the partner programme as they are. We do not warrant uninterrupted service, a particular rate of availability, or that a trip you found this morning is still bookable this afternoon.
- We are responsible to the traveller for the trip we sold them, as our Booking Agreement says. That responsibility is to them, not to you, and nothing here gives you a claim on their behalf.
- To the extent the law allows, our liability to you under this agreement in any twelve-month period is limited to the commission and fees we paid or charged you in that period, and neither of us is liable to the other for indirect or consequential loss, lost profit or lost business.
- Nothing here limits liability that cannot be limited by law, including for fraud.
17. Confidentiality
Rates, costs, proposals, commission terms we agree with you individually, and anything either of us marks as confidential stay between us, and are used only for this relationship. This does not cover what is already public, and it does not stop either of us telling a regulator what they are entitled to know.
18. Seller of Travel registration
Guideless LLC, trading as Guideless Travel, sells travel to customers wherever they live. The four US states below have seller-of-travel registration regimes. We intend to register in all four, and none of those registrations has been issued yet.
We ask where you live when you book, so that we know which rules apply to your booking. Where you live never changes the price, and we do not refuse a booking because of it. If you live in California, Florida, Hawaii or Washington, you are welcome to ask us about the status of our registration in your state before you book.
When a state's registration is issued, we will list its number below and update these terms to say so.
A missing number means this page does not provide evidence that a registration has been issued or that an application has been filed. Contact us for the current status before booking. We publish a number only when we can verify it.
- California — Seller of Travel (CST), Attorney General: registration number not listed.
- Florida — Seller of Travel (ST), FDACS: registration number not listed.
- Hawaii — Travel agency registration, DCCA: registration number not listed.
- Washington — Seller of Travel, Department of Licensing: registration number not listed.
- Registration by a state is not an endorsement of us by that state, and it is not insurance for you. It is a public record that we are registered to sell travel there, and a place to complain if we fail you.
- California residents: the Travel Consumer Restitution Fund is a California programme and only California residents who bought from a participating seller can claim on it. If you live elsewhere, it does not apply to you, whatever our registration says.
- Some of these regimes may require a bond or a trust account for customer money. This section does not confirm whether such protection is in force for your booking. Ask us for the applicable details before paying.
19. Changes to this agreement
We may update this agreement. The version at the top changes when we do, and we will tell active partners by email before a material change takes effect. Continuing to use the partner programme after that is acceptance. A change never affects commission already earned on a booking made before it.
20. Law and disputes
This agreement is governed by the laws of Delaware, United States, without regard to conflict-of-law rules, and proceedings take place there. This is a contract between businesses; the consumer protections in our Terms of Service are the traveller's and are not yours to invoke.
Tell us first. Most of what goes wrong between two companies is fixed by an email and a phone call.
